DaVinci Platform Public Beta Terms of Use

1. Acceptance of Terms

By accessing, registering, logging in, or using the DaVinci Platform (the “Platform”), you acknowledge that you have read, understood, and agree to be bound by these Public Beta Terms of Use (the “Terms”) and any updates hereto.

If you do not agree to any part of these Terms, you must immediately discontinue use of the Platform.

Continuing to access or use the Platform constitutes acceptance of these Terms, with the same legal effect as a signed agreement.

2. About the Platform

The DaVinci Platform is provided by Shanghai Oriorion Intelligent Technology Co., Ltd., an online intelligent business process design and automation platform, currently in Public Beta. The Platform may include but is not limited to:

Beta features may be updated, adjusted, or optimized frequently.

3. Eligibility and Scope

  1. Users must have full legal capacity to enter into binding agreements.
  2. Corporate users must ensure their representatives are authorized to act on behalf of the organization.
  3. Users must use the Platform only for lawful and legitimate purposes and comply with applicable laws and regulations.
  4. The Platform is provided for testing and trial purposes only and must not be used for production-critical business processes, unless otherwise agreed in writing.

4. Account and Security Obligations

  1. Users must safeguard account credentials and access tokens and must not share or transfer them.
  2. Users are solely responsible for any loss resulting from inadequate account security.
  3. Users must provide accurate, complete, and lawful information.
  4. The Platform reserves the right to suspend or terminate accounts for misuse, attacks, unauthorized activities, or security threats.

5. User Data and Privacy

  1. The Platform complies with applicable data protection and privacy laws.

  2. User data may be used for:

    • Platform services
    • Service optimization and issue resolution
    • Algorithm improvement (all training data will be anonymized and sanitized)
  3. User data will not be sold to third parties.

  4. Users are responsible for the legality of the data they upload and must not upload content that violates local laws, national security regulations, or proprietary rights.

While reasonable technical and administrative measures are applied to safeguard data, users understand that Beta versions may have inherent risks.

6. Intellectual Property and License

  1. All intellectual property rights in software, documentation, UI design, database structure, algorithms, and source code belong to the Platform.

  2. Users are granted a non-exclusive, non-transferable Beta-use license; all other rights are reserved by the Platform.

  3. Users may not:

    • Reverse engineer, decompile, hack, copy, sell, or rent Platform resources
    • Develop competing or derivative products based on the Platform
    • Publicly advertise or disclose technical evaluation results without permission

7. Platform Conduct and Prohibited Uses

Users shall not:

    • Feature changes, upgrades, migration, or service discontinuation

The Platform is not liable for any direct, indirect, or consequential damages, including those caused by force majeure (natural disasters, regulatory actions, network or infrastructure failures).

9. Service Changes and Termination

The Platform may, for business, legal, or security reasons:

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction where the Platform’s registered office is located.

The Platform is provided “AS IS” and “AS AVAILABLE”, without any express or implied warranty regarding availability, quality, or reliability.

To the maximum extent permitted by law, the Platform and its affiliates are not liable for any damages arising from use or inability to use the Platform, including data loss, business interruption, lost revenue, or missed opportunities.

Disputes should first be resolved amicably. If unsuccessful, either party may submit the dispute to a competent court of jurisdiction in the Platform’s registered office location.
